I represent that I am the person who appears on the application above. I acknowledge and agree to the statements, terms and conditions above, as well as any applicable terms and conditions for this registration, and that by typing my name below and completing this registration form, I am electronically signing the document, which will have the same legal effect as the execution of the document by a written signature and shall be valid evidence of my intent and agreement to be bound.

These terms and conditions apply between Highlands Wrestling Club, Inc."HWC" and those persons participating in this HWC event ("Participant").

1. BILLING AND PAYMENT: Online billing and payment processing for HWC events may be performed by Member Solutions, Inc. ("MSI"), and this contract may be specifically assigned to MSI for all such purposes. Participant knowingly and irrevocably authorizes MSI or HWC to charge electronically Participant's bank account and/or credit card for any and all amounts due for Participant's,and anyone registering under Participant's, participation in this Event. If MSI processes the charge, the phrase "888-851-1255 Event Register" will appear on your bank or credit card statement. Any returned payment will be assessed a $25.00 fee. Any unsuccessful electronic transaction is subject to a $10.00 processing fee. Neither MSI nor HWC are responsible for any bank fees incurred by Member/Participant. MSI and HWC have the sole right to resubmit returned or declined items (plus applicable fees) without prior notice. MSI BILLING INQUIRIES -- 888-851-1255 or by mail to PO Box 297, Hatboro, PA 19040. 2. COMPLIANCE WITH LAWS: This Agreement shall be governed by the laws of Virginia (the State in which HWC and this raffle event is located). All rights and obligations of the HWC and Participant under this Agreement are subject to all applicable federal, state and local laws and regulations. These terms and conditions shall be deemed revised to conform to applicable statutes, rules and regulations. HWC and/or MSI may modify the terms and conditions stated herein at any time in their sole and absolute discretion. Member/Participant shall be bound by the modified Agreement and agree that no other modifications shall be enforceable.

3. HWC ATV RAFFLE OFFICIAL RULES
The Highlands Wrestling Club (“HWC”), recognized by the IRS as a tax-exempt 501(c)(3) organization, is sponsoring a fundraising raffle (the “Raffle”)in accordance with the laws of the Commonwealth of Virginia to benefit its Skills and Scholarships Fund. All proceeds of the Raffle will go to HWC and will be used for competitive wrestling skill development purposes, primarily for mat time and scholarships/enrollment into HWC-sponsored or endorsed programs/events. Rules and regulations of the Raffle are set forth below. The interpretation and application of all Raffle rules by HWC and its legal counsel shall be final. Tickets may be sold throughout the community, in personal transactions by HWC members and volunteers, as well as online and through the U.S. mail. A maximum of 500 tickets will be sold at a cost of $50 per ticket.

Eligibility:
The Raffle is open to all legal residents of the United States, who are 18 years of age or older as of the start date of the Raffle, September 18, 2015. All federal, state and local laws and regulations apply. Void where prohibited by law. Only one eligible person may be entered in the Raffle per Ticket sold. There is no limit to the number of tickets an individual may purchase, up to the maximum number of tickets available. Members of HWC’s Board of Directors are not eligible to purchase tickets. By purchasing a raffle ticket (“Ticket”) and as a condition of eligibility, each Ticket purchaser agrees to be bound by all rules, limitations and restrictions set forth herein.

To Enter:
The HWC and various local community organizations will sell Tickets at a cost of fifty dollars ($50.00) per Ticket and are non-refundable. Tickets may be purchased with cash or charge (plus a $2.25 credit card processing fee) – personal checks not accepted. The odds of winning the Prize, as hereinafter defined, will depend on the final number of Tickets sold. Tickets will be sold until the earlier of: the 500th ticket is sold – or – Noon at the HWC-sponsored Mountain Man Classic Wrestling Belt Tournament on Saturday, December 5, 2015. It is not necessary for the winner to be present to win. The Prize will be on display at various locations around the Town of Abingdon. Participants must follow all instructions and submit a complete ticket entry form to be qualified to win the Raffle. Per IRS rules, amounts paid for Raffle Tickets are not gifts to the charitable organization and do not qualify as deductible charitable contributions.

Online and/or Credit Card Sales:
Tickets may be purchased online and/or in-person using a credit card at a cost of fifty dollars ($50.00) per Ticket and are non-refundable. An administrative charge of $2.25 per individual transaction will apply to credit card Ticket purchases. Each valid Ticket purchase made online via the HWC’s website (www.highlandswrestlingclub.com/atv-raffle) will be assigned a unique ticket number and the information transferred to an entry form, which may not be given away or otherwise transferred. To be valid, the receipt or transaction confirmation number of a Ticket purchased online must be presented by the Winner. If a credit card is dishonored by the bank or credit card company, the entry ticket(s) will be voided and not placed in the raffle drawing. Only the purchaser of the online Raffle Ticket, as determined by credit card purchase records, will be considered the lawful owner of the online Raffle Ticket. Online Ticket sales will end at 12:01 am EST on December 4, 2015 or once the 500th ticket is sold.

The Prize:
Provided 170 or more tickets are sold, the Winner will be eligible to win:
• A new Honda 2015 FourTrax Recon ATV – total value $4,164.00 less ticket cost. Includes a 4-Wheeler from Atlas Yamaha (Bristol, VA) with retail value of up to $4,000 plus up to $164 VA motor vehicle sales & use (SUT) tax credited upon title and transfer to the Winner.

In the event that less than 170 tickets are sold, the raffle will be converted to a 50/50 and the Winner will be eligible to receive a cash prize of up to 50% of the ticket sales collected to that date. Winner will be eligible to claim the cash prize of up to a maximum prize value of $4,225.

Terms of Prize Acceptance:
• The HWC assumes no responsibility for the Winner's tax and/or legal obligations, including the calculation and payment of taxes, and suggests the Winner consult his/her tax and/or legal advisor. Winnings are inclusive of tax payments made by HWC toward SUT taxes owed by the Winner. By accepting the Prize, Winner accepts that HWC is not liable for taxes and that the Winner is solely liable for any tax liability. The Winner must provide HWC with all necessary information required for tax purposes prior to delivery of the Prize. Failure to do so upon acceptance of the Prize shall result in an automatic forfeiture of the Winner’s Prize.
• If the Winner elects to receive the 4-Wheeler:
o Winner assumes and must pay all fees and charges (including, but not limited to, tags and license, local, state and federal taxes) when the 4-Wheeler is transferred to the Winner.
o The Winner accepts the 4-Wheeler “AS IS” with no warranty or guarantee, either express or implied, by HWC, [dealer], except as specifically provided by the 4-Wheeler manufacturer.
o All costs incurred subsequent to transfer of the 4-Wheeler, such as gasoline, oil and maintenance not specifically covered under the 4-Wheeler’s manufacturer’s warranty, are the sole responsibility of the Winner.
o The Winner must have proper identification when claiming the prize (a valid state driver's license) and appropriate insurance.
• The Winner must claim the Prize within thirty (30) calendar days of notification. Otherwise such Prize will be awarded in succession to first and then second alternate. In the event that a Winner, or first or second alternate, does not claim the Prize or is determined to be ineligible to receive the Prize, no Prize will be awarded or substituted. The Prize is not transferable.

Prize Drawing:
The Prize drawing will take place on the earlier of Noon on the first Saturday following the sale of the 500th ticket or Noon on Saturday, December 5, 2015 during The Mountain Man Wrestling Tournament sponsored by the Highlands Wrestling Club held in Abingdon, VA. One (1) Ticket plus two (2) successive alternates will be selected at random from among all eligible entries in accordance with Virginia laws by representatives of HWC. If the first Ticket drawn from among all entries meets the requirements as set forth in these Official Rules, the listed name on the ticket will be the Winner of the Prize. In the event the first ticket drawn does not meet the requirements set forth herein or in the event the Winner does not claim the Prize or is deemed otherwise ineligible, the Prize will be awarded to the alternates in succession. Alternate names will not be disclosed or announced unless the original Winner is disqualified. The Prize will be awarded to the individual whose name appears on the Ticket (the “Winner”) as submitted for the contest. Purchasers of the Ticket will not be deemed to be the Winner unless his/her name appears on the Ticket. The Winner will be contacted by the phone number and/or email address provided on the entry form and the Winner’s name will be announced on HWC website on Saturday, December 5, 2015. The Winner need not be present at the drawing to win.

If the name of more than one person is submitted with a Ticket purchase, the first name on the Ticket form will be declared as the Winner. If the winning Ticket contains incomplete information, or the Ticket is otherwise deemed non-compliant with the Official Rules, that Ticket will be deemed to be void and the first and second alternate Winner will be notified. HWC reserves the right to reject any Ticket purchase submitted with payment that does not constitute “good funds” or that is otherwise non-compliant with the Official Rules.

General Terms:
By entering the Raffle, the Winner agrees that his/her name and/or likeness may be disclosed to and used by the news media and/or the HWC for promotional purposes without additional compensation. In addition, each participant releases HWC and their directors, officers, employees, volunteers and agents (collectively the “Released Parties”) from any and all liability for injuries, losses or damages of any kind caused by participating in the Raffle or winning the Prize, or resulting from acceptance, possession, use or misuse of the Prize. The Winner of the Prize and/or their family, heirs, associates or other interested parties agree to indemnify and hold harmless the Released Parties from any and all losses, damages, rights, claims and actions of any kind arising in connection with or as a result of the Winner’s acceptance or use of the Prize.

All Ticket sales are final. A Raffle participant’s sole and exclusive remedy for the HWC’s breach shall be limited to the return of the purchase price paid for his/ her Ticket(s). In no event shall the corporate entities of the HWC and their respective directors, officers, employees, and volunteers be liable to any party for any loss or injuries to earnings, profits or goodwill, for any incidental, special, punitive or consequential damages of any person or entity whether arising in contract, tort or otherwise, even if advised of the possibility of such damages by counsel.

By purchasing a Ticket and choosing to participate in the Raffle, each Raffle participant acknowledges and agrees that the HWC has the right, in its sole discretion, to elect not to proceed with the Raffle for any reason whatsoever or for no reason, and in such event, a participant's sole and exclusive remedy shall be to receive a refund of the full price paid by such participant for each Raffle ticket purchased, without interest.

HWC reserves the right to cancel, suspend and/or modify the Raffle, or any part of it, if any fraud, technical failures or any other factor beyond HWC’s reasonable control impairs the integrity or proper functioning of the Raffle, as determined by HWC in its sole discretion. HWC reserves the right in it’s sole discretion to disqualify any individual it finds to be tampering with the raffle process or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the raffle may be in a violation of criminal and civil law, and, should such an attempt be made, HWC reserves the right to seek damages from any such person to the fullest extent permitted by law. HWC’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by raffle purchasers, printing errors or by any of the programming associated with or utilized in the raffle; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or hard/software ;(3) unauthorized human intervention in any part of the raffle process; (4) technical or human error which may occur in the administration of the raffle or the processing of raffle ticket purchases; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from raffle purchaser's participation in the raffle or receipt or use or misuse of any prize. If for any reason a raffle ticket is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, a ticket purchaser's sole remedy is another ticket in the Raffle, provided that if it is not possible to award another ticket due to discontinuance of the Raffle, or any part of it, for any reason, the HWC, at its discretion, may elect to hold a random drawing from among all eligible raffle ticket stubs up to the date of discontinuance for the prizes offered herein. No more than the stated prizes will be awarded. In event that production, technical, seeding, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed, HWC reserves the right to award only the stated Prize by a random drawing among all legitimate, un-awarded, eligible prize claims.

Except where prohibited, Ticket purchasers agree that: (1) any and all disputes, claims and causes of action arising out of or connected with this raffle any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate Virginia State Court located in Abingdon, Virginia U.S.A.; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this raffle, but in no event attorneys' fees; and (3) under no circumstances will Ticket purchasers be permitted to obtain awards for, and hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and HWC in connection with the raffle, shall be governed by, and construed in accordance with, the laws of the State of Virginia, USA without giving effect to any choice of law or conflict of law rules (whether of the State of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Virginia.

This Agreement constitutes the entire Agreement between the parties and supersedes all prior agreements between the parties,whether written or oral. The invalidity or unenforceability of any provision hereof shall not affect the validity or enforceability of any other provision.The waiver of any breach shall not constitute a waiver of any subsequent breach.
